Description of Charity/Foundation:
Multicultural Family Resource Society (MFRS) was built by and for immigrant and refugee families who dared to dream of an inclusive, equitable, and intercultural Edmonton. We work as a collaborative, intercultural community to address the poverty and exclusion many newcomers face. As a community we lead in parent and youth programming that nurtures a culture of belonging and wellbeing. Our programs and services are participant driven, culturally responsive, empowering and relational.They are described in our 2019 Annual Report at https://mfrsedmonton.org/annual-reports.
Description of Role:
The Board of Directors is responsible for ensuring the mission and objectives of MFRS are achieved. It oversees the management of the Society’s affairs. Regular meetings of the Board shall be held a minimum of four times a year. Committee meeting schedules are determined by its members. The Board shall hold office and committee memberships for a term of two years with the opportunity for renewal. Board and Committee members are supported with opportunities for relevant training.
Specifically, over the next two years, the MFRS board is working towards becoming more strategic to support better community impacts. We want to: support a culture of learning and innovating, increase knowledge translation of the work we are doing, and create developmental evaluation to help us measure our impact. Board of Directors
The Board of Directors shall:
Assure the vision and objectives of MFRS are realized and abide by the Bylaws
Develop policies and procedures for the governance, management, and operation of the Society
Serve on at least one standing committee: governance, internal or external
Facilitate the development of a strategic plan
Review and adopt the annual budget
Actively participate in fundraising activities such as the Casino
Recommend annually to the Society’s members the appointment of an Accountant/Auditor
Oversee the hiring and supervision of the Executive Director(s)
Attend all Board meetings, but if unable to do so will advise the Chair in advance of the meeting
Make serious commitment to participate actively in committee work
Stay informed about Board/committee matters, prepare well for meetings, and review and comment on minutes and reports
Stay informed on MFRS’s financial and legal obligations on a regular basis
Be respectful of confidential matters in accordance with Code of Conduct
Participate in annual evaluation of Board and Committee effectiveness
Support Board’s final decisions
Support MFRS by making an annual contribution of personal significance
Time Commitment:
Bimonthly Board meeting for 2 hours (5 meetings with July and August off)
Standing committee work 4 to 5 hours a month
Strategic Planning for 4 to 8 hours a year
Annual Program Visit for 2 to 4 hours a year
Annual Multicultural Event for 4 to 5 hours in October
Board Professional Development 3 to 4 hours a year
Remuneration and Liability
Directors of the board do not receive any payment for their time, except for reimbursement for expenses related to their duties (i.e. parking, payment for meals etc.).
Through insurance (Directors and Officers Insurance Policy), MFRS promises to cover potential losses from any kind of civil, criminal or administrative legal action against the Board, as long as the board directors acted in the best interests of MFRS. Board directors cannot be held liable for any loss unless they engaged in acts of fraud, dishonesty or bad faith.
